'Conflicts of Interests in the Supervisory Board of the German Stock Corporation'



The study addresses the question of how conflicts of interests of members of the supervisory board should be dealt with. It is based on a thorough definition and categorization of what constitutes a conflict of interests. Apart from a consistent concept, the author develops a coherent system for handling conflicts of interests, which, inter alia, takes into account the provisions of the German Corporate Governance Code and the German Stock Corporation Act.
